Statement of Information
California business entities are required to file a statement of information with the Secretary of State every 1-2 years depending on your entity type. The filing confirms some basic information about your entity, including your current owners and address. Failure to file can result in penalty fees and loss of good-standing.
BOI Report
Starting in 2024, all new and existing LLCs and corporations in the United States are required to file a beneficial owner information (BOI) report with FinCen. The filing confirms the identities of all beneficial owners who control the company and/or own 25% of the company or more. Failure to file can result in hefty fines and even potential jail time. The filing is due by January 1, 2025, or 90 days after formation for new entities.
